Notice is hereby given, for the purposes of section 10 of the Limited Partnerships Act 1907, that, on 4 February 2015, (i) Next Egg Investments (Cheswold), LP transferred its interest as a limited partner of the Partnership (represented by a capital contribution of £42) to J.P. Morgan Trust Company of Delaware in its capacity as trustee for The Cheswold Trust, (ii) immediately thereafter J.P. Morgan Trust Company of Delaware in its capacity as trustee for The Cheswold Trust transferred its interest as a limited partner of the Partnership (represented by a capital contribution of £42) to Bruce C. Lindsay in his capacity as trustee for The Joseph Neubauer 2001 Grantor Retained Annuity Trust, (iii) immediately thereafter Bruce C. Lindsay in his capacity as trustee for The Joseph Neubauer 2001 Grantor Retained Annuity Trust transferred part of his interest as a limited partner of the Partnership (represented by a capital contribution of £21) to Lawrence A. Neubauer and the remaining part of his interest as a limited partner of the Partnership (represented by a capital contribution of £21) to Melissa N. Anderson, and (iv) then simultaneously (A) Lawrence A. Neubauer transferred his interest as a limited partner of the Partnership (represented by a capital contribution of £21) to NEA Partners IX, LP and (B) Melissa N. Anderson transferred her interest as a limited partner of the Partnership (represented by a capital contribution of £21) to NEA Partners IX, LP. As a consequence of the aforementioned transfers, Next Egg Investments (Cheswold), LP ceased to be a limited partner of the Partnership and NEA Partners IX, LP was admitted as a limited partner of the Partnership with an aggregate capital contribution of £42.
