At a General Meeting of the Partnership duly convened and held at the offices of ReSolve Partners LLP, One America Square, Crosswall, London, EC3N 2LB on 26 January 2015 the following resolutions were duly passed as a Special Resolution and as an Ordinary Resolution respectively:

“That it has been resolved the Partnership be wound up voluntarily; and that Simon Harris and Cameron Gunn and Mark Supperstone, of ReSolve Partners LLP, One America Square, Crosswall, London, EC3N 2LB, (IP Nos. 11372, 9362 and 9734), be and are hereby appointed Joint Liquidators for the purposes of the winding up and are to act jointly and severally.” At the subsequent meeting of creditors held at the same place on the same date, the resolutions were ratified confirming the appointment of Simon Harris and Cameron Gunn and Mark Supperstone as Joint Liquidators.
