At a general meeting of the Company, duly convened and held at 24 Conduit Place, London W2 1EP on 17 December 2014, the following Resolutions were passed:

Special Resolution

“That the Company be wound up voluntarily”.

Ordinary Resolution

“That Ian Franses and Jeremy Karr of Begbies Traynor (Central) LLP, 24 Conduit Place, London W2 1EP be and hereby are appointed Joint Liquidators of the Company for the purpose of the voluntary winding-up, and any act required or authorised under any enactment to be done by the Joint Liquidators may be done by all or any one or more of the persons holding the office of liquidator from time to time.”

At the subsequent Meeting of Creditors held on 17 December 2014 the appointment of Ian Franses and Jeremy Karr as Joint Liquidators was confirmed.

Ian Franses (IP number 2294) and Jeremy Karr (IP number 9540) both of Begbies Traynor (Central) LLP, 24 Conduit Place, London W2 1EP were appointed Joint Liquidators of the Company on 17 December 2014.
