“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the Company and accordingly that the Company be wound up voluntarily and that Ruth Ellen Duncan and Filippa Connor, both of RNF Business Advisory Limited, Kent House, Romney Place, Maidstone, Kent, ME15 6LH, (IP Nos 9246 and 9188) be and are hereby appointed Joint Liquidators for the purpose of such winding up. Any act required or authorised under any enactment to be done by the Joint Liquidators is to be done by one or more of the above named persons.”
