Notification of written resolutions of the Company, pursuant to Chapter 2 of Part 13 of the Companies Act 2006, passed on 31 July 2014, as Special and Ordinary Resolutions:

“That it is desirable to reconstruct the Company and for that purpose the Company be wound up voluntarily under the provisions of the Companies Act 2006 and the Insolvency Act 1986; and that Christopher Richard Frederick Day and Stephen Roland Browne, both of Deloitte LLP, Athene Place, 66 Shoe Lane, London EC4A 3BQ, (IP Nos. 009281 and 008072), (the “Liquidators”) be appointed as joint liquidators for the purpose of winding up the Company’s affairs and distributing its assets. Any act required or authorised under any enactment or resolution of the Company to be done by a liquidator, may be done by either or both of the Liquidators acting jointly or alone.”
