At a General Meeting of the above-named Company, duly convened, and held at the offices of HKB Wiltshires, 21 Hall Quay, Great Yarmouth, Norfolk, NR30 1HN on 3 April 2014 the subjoined Resolutions were duly passed:

Special Resolution

1 That the Company be wound-up voluntarily and Christopher Kim Rayment and Matthew R Howard (Insolvency Practitioner numbers 6775 and 9219 respectively) of BDO LLP, 125 Colmore Row, Birmingham, B3 3SD be and are hereby appointed Joint Liquidators for the purposes of such winding-up, and are to act jointly and severally.

Ordinary Resolutions

1 That the Liquidators be and are hereby authorised to distribute all or part of the assets in specie to the shareholders in such proportion as they mutually agree.

2 That the Liquidators be authorised under the provisions of Legislation section: Section 165(2) of the Legislation: Insolvency Act 1986 to exercise the powers laid down in Legislation section: Schedule 4, Part 1 of the Legislation: Insolvency Act 1986 .
