At A General Meeting of the Members of the above-named Company duly convened and held at 340 Deansgate, Manchester M3 4LY on 15 October 2013, the following Special and Ordinary Resolutions were duly passed:

1. That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the Company, and accordingly that the Company be wound up voluntarily.

2. That Lindsey Jane Cooper and Donald Bailey of Baker Tilly Restructuring and Recovery LLP, 3 Hardman Street, Manchester M3 3HF be and they are hereby appointed Joint Liquidators for the purposes of such winding up.

Lindsey Jane Cooper (IP Number 8931) and Donald Bailey (IP Number 6739) of Baker Tilly Restructuring and Recovery LLP, 3 Hardman Street, Manchester M3 3HF were appointed as Joint Liquidators of the Company on 15 October 2013.
