(Pursuant to Section 378 (1) of the Companies Act 1985 and 84(1)(c) and 100 of the Insolvency Act 1986).

At a General Meeting of the members of the above named company, duly convened and held at 98 Lancaster Road, Newcastle, Staffordshire ST5 1DS on 7 January 2013 at 1.30 pm the following resolutions were duly passed; No 1 as a special resolution and No 2 as an ordinary resolution:-

1. “That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily”.

2. “That Clive Morris be and he is hereby appointed Liquidator for the purposes of such winding up”.
