At a General Meeting of the above-named Company, duly convened, and held at Gable House, 239 Regents Park Road, London N3 3LF, on 15 November 2011 the subjoined Special Resolution was duly passed:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that D.L. Platt, of SPW Poppleton & Appleby, Gable House, 239 Regents Park Road, London N3 3LF, (IP No. 2669) be and is hereby appointed Liquidator for the purposes of such winding-up.” The appointment was subsequently ratified at the meeting of the creditors held on the same day.
