Notice is hereby given, pursuant to section 10 of the Limited Partnerships Act 1907, on 15 December 2009, BIP Venture Partners S.A., SICAR, transferred:

(i) 13.80% of its right, title and interest held in the Partnership to Allocation Europe II LLC, and consequently on that date Allocation Europe II LLC, was admitted as a limited partner of the Partnership;

(ii) 14% of its right, title and interest held in the Partnership to Access Capital IV Tech (Delaware) LP, and consequently on that date Access Capital IV Tech (Delaware) LP, was admitted as a limited partner of the Partnership.

(iii) 15.50% of its right, title and interest held in the Partnership to ACF IV GBO (Delaware) LLC, and consequently on that date ACF IV GBO (Delaware) LLC, was admitted as a limited partner of the Partnership;

(iv) 26.70% of its right, title and interest held in the Partnership to European Mid-Market Secondary Fund 1 LP, and consequently on that date Europe Mid-market Secondary Fund I LP, was admitted as a limited partner of the Partnership; and

(v) 30% of its right, title and interest held in the Partnership to Access Capital IV GBO (Delaware) LP, and consequently on that date Access Capital IV GBO (Delaware) LP, was admitted as a limited partner of the Partnership.

Consequently, on that date, as a result of the transfers detailed above, BIP Venture Partners S.A., SICAR, ceased to be a partner in the Partnership.

Although accepted by the General Partners of the Partnership on 15 December 2009, the transfers were deemed to be effective by each party to the transfer on 18 November 2009.
