At an Extraordinary General Meeting of the Shareholders of the above company, duly convened, and held at Unit 4, Glan Aber Trading Estate, Vale Road, Rhyl, LL18 2PL on 18 February 2010 resolutions were duly passed as a special and ordinary resolutions:

“That it has been proved to the satisfaction of this meeting that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the company be wound up voluntarily, and that Michael Field and Paul Howard Finn, both of Finn Associates, Tong Hall, Tong, West Yorkshire BD4 0RR, be and are hereby appointed Joint Liquidators of the company for the purposes of the voluntary winding-up.”
