At an Extraordinary General Meeting of the above named company, duly convened and held at 43 Mansel Street, Swansea SA1 5SW on 27 October 2009 the following Special Resolution and Ordinary Resolution was duly passed:

“That it has been proved to the satisfaction of the company that this company cannot by reason of its liabilities continue its business, and that it is advisable that it should be wound up voluntarily; and that Michelle Williams, of McAlister & Co, 43 Mansel Street, Swansea, SA1 5SW, be and is hereby appointed Liquidator of the company for the purposes of such winding up.”
