Pursuant to written resolutions passed on 09 September 2009 the following special resolution and ordinary resolutions were passed:

“That the Company be wound up voluntarily; and that Richard Andrew Segal and David Birne, both of Fisher Partners, Acre House, 11-15 William Road, London NW1 3ER, be appointed joint liquidators of the Company for the purposes of the voluntary winding-up and that the joint liquidators be authorised to act jointly and severally in liquidation.”
