At a General Meeting of the above-named Company, duly convened and held at The Hollies, Church Street, Rugeley, Staffordshire WS15 2AB, on 15 December 2008 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that MFP Smith, of Dains LLP, Third Floor, Fort Dunlop, Fort Parkway, Birmingham B24 9FD, be and is hereby appointed Liquidator for the purposes of the voluntary winding-up.”
