At a General Meeting of the members of the above-named Company, duly convened and held at: The Institute of Chartered Accountants, Chartered Accountants Hall, Moorgate Place, London EC2P 2BJ on 6 February 2008 the following resolutions were duly passed, number 1 as a special resolution and number 2 as an ordinary resolution :-

1 “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily”.

2 “That David Norman Kaye FCA of Crawfords, Stanton House, 41 Blackfriars Road, Salford, Manchester M3 7DB be appointed Liquidator for the purpose of the voluntary winding up of the company”.
