At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Holiday Inn, Woolston Grange Avenue, Warrington, WA1 4PX, on 15 November 2007 the following Special Resolution was duly passed:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Peter John Windatt and Gavin Geoffrey Bates, both of BRI Business Recovery and Insolvency, 100-102 St James Road, Northampton NN5 5LF, be and they are hereby appointed Joint Liquidators for the purpose of the winding-up.”
