By written Resolution of the above-named Company passed on 29 March 2006, the following Special Resolution was passed: “That the Company be wound up voluntarily, pursuant to section 84(1)(b) of the Insolvency Act 1986, and that William John Kelly and James Patrick Nicholas Martin both of Begbies Traynor, 4th Floor, Newater House, 11 Newhall Street, Birmingham B3 3NY, (“the Liquidators”) be appointed Joint Liquidators of the Company for the purposes of such winding-up provided that any act required or authorised under any enactment to be done may be done by any one or more persons holding the office of Liquidator from time to time.” P J Lilley, Director
