At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Cardinal House, 46 St Nicholas Street, Ipswich, Suffolk IP1 1TT, on 19 September 2005, the subjoined Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that the Company be wound up voluntarily, and that Steven M Law, of Ensors, Cardinal House, 46 St Nicholas Street, Ipswich IP1 1TT, be appointed Liquidator of the Company for the purposes of the voluntary winding-up.” W Chapman
