At an Extraordinary General Meeting of the Members of the above-named Company, duly convened and held at BWC Business Solutions, 8 Park Place, Leeds LS1 2RU, on 9 September 2005, the following Resolutions were duly passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up, and that Gary Edgar Blackburn, and Paul Andrew Whitwam, of the firm of BWC Business Solutions, 8 Park Place, Leeds LS1 2RU, be and are hereby appointed as Joint Liquidators for the purposes of the winding-up.” Note. Gary Edgar Blackburn and Paul Andrew Whitwam are authorised to act as Insolvency Practitioners by The Association of Chartered Accountants of England and Wales.
