Resolutions for Winding-up
BEXLEY COMMUNITY LEISURE LIMITED
At a Special General Meeting of the Association held on 16 April 2004, the following Special Resolution was duly passed: “That the Company be wound up voluntarily, and that Andrew Tate and John Ariel, of Baker Tilly, 12 Gleneagles Court, Brighton Road, Crawley, West Sussex RH10 6AD, be and are hereby appointed Joint Liquidators for the purposes of such winding-up, and that the Joint Liquidators be and are hereby authorised under the provisions of section 165 of the Insolvency Act 1986 to exercise the powers laid down in Schedule 4, Part I of the said Act, that, in accordance with the provisions of Rule 78 of the Society, the Joint Liquidators be and are hereby authorised to divide and distribute, in specie or in kind, the whole or any part of the assets of the Company and to determine how such division and distribution shall be carried out, and that in accordance with the provision of Rule 4.127 of the Insolvency Rules 1986, the Joint Liquidators will be remunerated on a time costs basis for the statutory procedures of the Liquidation, plus disbursements and VAT, as agreed by the Board of Directors.” M Subert, Chairman
