At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Kingston Smith & Partners LLP, Devonshire House, 60 Goswell Road, London EC1M 7AD, on 24 September 2003, at 3.30 pm, the following Resolutions were duly passed, as a Special Resolution, as Ordinary Resolutions and as Extraordinary Resolutions respectively: “That the Company be wound up voluntarily, that Nicholas John Miller and Ian Robert of Kingston Smith & Partners LLP, Devonshire House, 60 Goswell Road, London EC1M 7AD, are are hereby appointed Joint Liquidators for the purposes of such a winding-up and that they act jointly and severally, that the Joint Liquidators’ remuneration be drawn from time to time on the basis of normal costs, that the Joint Liquidators be empowered at their discretion, to distribute in specie assets of the Company, if appropriate, that the Joint Liquidators be empowered to exercise those powers set out in Schedule 4 Part 1 of the Insolvency Act 1986, and that the books and records are held by the Directors to the order of the Joint Liquidators and that upon completion of the liquidation, the Joint Liquidators be authorised to dispose of the books and records 12 months after the dissolution of the Company.” Chairman
