In the High Court of Justice (Chancery Division) Companies Court.  No 3089 of 2003 In the Matter of AMP BANK LIMITED and in the Matter of Newcastle Building Society and in the Matter of Part VII of The Financial Services and Markets Act 2000 Notice is hereby given that an application under Part VII of the Financial Services and Markets Act 2000 (the “Act”) has been made by Claim Form dated 2 May 2003 (the “Application”) to Her Majesty’s High Court of Justice by the above-named AMP Bank Limited (“AMP”) and Newcastle Building Society (“Newcastle”) for the sanction of the Court to a scheme (the “Scheme”) under section 111(1) of the Act providing for the transfer to Newcastle of the Transferred Business (as defined in the Scheme) carried on by AMP through its branch in the United Kingdom and for Orders pursuant to section 112 of theAct making ancillary provision for implementing the Scheme. The Transferred Business comprises AMP’s United Kingdom deposit taking business. AMP is a Company incorporated in Australia and registered in the United Kingdom with number FC002276. Its principal office in the United Kingdom is at Park House, Lynch Wood, Peterborough PE2 6FY. Newcastle Building Society is a building society registered in England and Wales with FSA registration number 156058. Its principal office is at Portland House, New Bridge Street, Newcastle upon Tyne NE1 8AL. The operation of the Scheme will not alter the terms and conditions of business that apply to existing account holders (other than to replace AMP with Newcastle). A copy of a statement setting out the terms of the Scheme will be sent, free of charge, to any person who requests it from the address or telephone numbers or e-mail set out in the Schedule. An explanatory letter explaining the proposed Scheme has been posted to AMP’s customers of the business proposed to be transferred and copies of that letter will also be sent, free of charge, to any other person who requests them from the address or telephone numbers or e-mail address set out in the Schedule. The Application is directed to be heard before a Judge at the Royal Courts of Justice, Strand, London WC2A 2LL, on 10 June 2003. Any person (including any employee of AMP or Newcastle) who claims that he or she would be adversely affected by the carrying out of the Scheme may appear at the time of the said hearing in person or by counsel. Any person who intends so to appear, and any person who dissents from the Scheme but does not intend so to appear, is requested to give not less than 2 clear days prior notice in writing of such intention or dissent, and the reasons therefor, to AMP’s Solicitors named below.
