At an Extraordinary General Meeting of the above-named Company convened and held at Park House, 26 North End Road, London NW11 7PT, on 25 October 2002, the following Resolutions were passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That the Company cannot, by reason of its liabilities, continue its business, and that the Company be wound up voluntarily, and that Alan Roy Clifton, of DTE Corporate Recovery and Insolvency Services Limited, Park House, 26 North End Road, London NW11 7PT, be appointed Liquidator for the purpose of such winding-up.” P A McAteer, Chairman
