At an Extraordinary General Meeting of the above-named Company, duly convened and held at 5 High Street, Edenbridge, Kent TN8 5AB, on 24 July 2001, the following Extraordinary Resolution and Ordinary Resolution were duly passed. “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and accordingly that the Company be wound up voluntarily, and that Mark Newman of Smith & Williamson, The Meeting House, Little Mount Sion, Tunbridge Wells, Kent TN1 1YS, be and he is hereby appointed Liquidator for the purposes of such winding-up.” P Briggs, Chairman
