Resolutions for Winding-up
BURLINGTON COMMODITIES LIMITED
At an Extraordinary General Meeting of the above-named Company, duly convened and held at Casson Beckman & Partners, 3 Dyers Buildings, Holborn, London EC1N 2JT, on 16th August 2000, the following Resolutions were duly passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that John Samuel Francis Bennett and Neil Charles Money, of Casson Beckman & Partners, 3 Dyers Buildings, Holborn, London EC1N 2JT, be and are hereby appointed Joint Liquidators of the Company, empowered to act jointly and severally for the purposes of such winding-up.” At the subsequent Meeting of Creditors held at the same place on the date, the Resolutions were ratified together with the appointment of John Samuel Francis Bennett and Neil Charles Money, of Casson Beckman & Partners, 3 Dyers Buildings, Holborn, London EC1N 2JT, as Joint Liquidators.
