At an Extraordinary General Meeting of the Members of the above-named Company, duly convened, and held at Noke Thistle Hotel, Watford Road, St. Albans AL2 3DS, on 29th August 2000, the following Extraordinary Resolution was duly passed: “That the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Tracey Elizabeth Callaghan and Peter John Robertson Souster, of Baker Tilly, 2 Bloomsbury Street, London WC1B 3ST, be and are hereby appointed as Joint Liquidators for the purposes of such winding-up.” M.
