On 28th April 2000, by a Resolution in writing signed by all of the Members of the Company on or before that date (being as valid and effective as if the Resolution had been passed at a General Meeting of the Company duly convened and held), the following Resolution was duly passed as a Special Resolution: “That with effect from midnight on 30th April 2000, the Company be wound up by Members’ voluntary liquidation and that Lindsay Kennedy Denney and Nicholas James Dargan, of 1 Woodborough Road, Nottingham NG1 3FG (“the Liquidators“) be and are hereby appointed with effect from midnight on 30th April 2000, as its Liquidators, and the powers of the Liquidators may be exercised by them either jointly or by each independently of the other.” B.
