(formerly known as Advanced Logic Research Inc. (U.K.) Limited In accordance with regulation 53 of Table A in the Schedule to the Companies (Table A to F) Regulations 1985 (as amended) as incorporated in the Company’s articles of association, I, Stuart Stevens, being the sole Member of the Company who would, at the date of this Resolutoin, have been entitled to vote upon it as if it had been proposed at a General Meeting, at which I were present, passed the following Special Resolution on 4th May 2000, by way of a Resolution in writing: “That Bagset Limited, be wound up voluntarily and G. R. Gadsby and J. B. Stephenson, of Mazars Neville Russell, 24 Bevis Marks, London EC3A 7NR, be and are hereby appointed Joint Liquidators for the purpose of winding-up the Company’s affairs and distributing its assets.” S.
