At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Gibson Hewitt, 5 Park Court, Pyrford Road, West Byfleet, Surrey KT14 6SD, on Wednesday, 20th October 1999, the following Extraordinary Resolution was duly passed: “That it has been proved to the satisfaction of the Meeting that the Company could not, by reason of its liabilities, continue its business, and it is advisable to wind up the same, and accordingly that the Company be and is hereby wound up voluntarily, and that Lynn Gibson and Robert David Hewitt, both of Gibson Hewitt, 5 Park Court, Pyrford Road, West Byfleet, Surrey KT14 6SD, be and are hereby appointed Joint Liquidators of the Company and they are able to act jointly and severally.” H.
