CONSPEED LIMITED (formerly known as Autocavan Components Limited)

At an Extraordinary General Meeting of the above-named Company held at PricewaterhouseCoopers, 10 Bricket Road, St. Albans, Hertfordshire AL1 3JX, on 4th October 1999, the following Resolutions were passed, as an Extraordinary Resolution and as Ordinary Resolutions respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that Robin Addy and David Wilton, of PricewaterhouseCoopers, 53 Sheep Street, Northampton NN1 2NF, be and are hereby appointed Joint Liquidators of the Company for the purpose of its voluntary winding-up, and that anything required or authorised to be done by the Joint Liquidators be done by both or either of them.” At a Meeting of Creditors held on 4th October 1999, the Creditors confirmed the appointment of Robin Addy and David Wilton as Joint Liquidators and that anything required or authorised to be done by the Joint Liquidators be done by both or either of them.
