At an Extraordinary General Meeting of the above Company, held at Cork Gully, 8 Princes Parade, St. Nicholas Place, Liverpool L3 1QJ, on 27th November 1998, the following Resolutions were passed as an Extraordinary Resolution and as Ordinary Resolutions respectively: “That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and accordingly that the Company be wound up voluntarily and that Michael Horrocks and Stephen Ellis of Cork Gully, (PricewaterhouseCoopers), 8 Princes Parade, St. Nicholas Parade, Liverpool L3 1QJ, be and are hereby appointed Joint Liquidators of the Company for the purpose of its voluntary winding up and that anything required or authorised to be done by the Joint Liquidators be done by both or either of them.” E.
