At and Extraordinary General Meeting of the above-named Company, duly convened, and held at 5-7 Berry Road, Newquay, Cornwall, on 29th May 1998, the following Special Resolution was duly passed:   “That the Company be wound up voluntarily, and that Derek Anthony Jeal, of Parkway House, 1 Pityme Business Centre, St. Minver, Wadebridge, Cornwall PL27 6PH, be and he is hereby appointed Liquidator for the purpose of such winding-up.” R.
