At an Extraordinary General Meeting of the above-named Company, duly convened, and held on 25th February 1998, at 11 a.m., the following Resolutions were duly passed, as an Extraordinary Resolution and as an Ordinary Resolution respectively:   “That the Company be wound up voluntarily, and that David Swaden, of BDO Stoy Hayward, 6th Floor, Cunard Buildings, Pier Head, Liverpool L3 1DS, be and he is hereby appointed Liquidator for the purpose of such winding-up.” A.
