At a General Meeting of the above-named company duly convened and held at Inglisfield, Gifford, Haddington, East Lothian EH41 4JH, on 12 November 2008 the following resolutions were passed, as a Special Resolution and as an Ordinary Resolution:

1.  That the Company be wound up voluntarily.

2.  That Dermot Coakley and Michael Bowell, Licensed Insolvency Practitioners, both of MBI Coakley Limited, Tunsgate Square, 98-110 High Street, Guildford, Surrey GU1 3HE be and are hereby appointed Joint Liquidators for the purposes of such winding up, to act Jointly and Severally.
