At an Extraordinary General Meeting of the above-named Company, duly convened, and held at Sherwood House, 7 Glasgow Road, Paisley PA1 3QS, on 12 October 2007, the following Special Resolution numbered one and the Ordinary Resolution numbered two duly passed, viz:-

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business and that it is advisable to wind up the same and, accordingly, that the Company be wound up voluntarily”.

“That Kenneth Robert Craig, of Tenon Recovery, 2-4 Blythswood Square, Glasgow G2 4AD, be and is hereby appointed Liquidator for the purposes of the winding up.”
