Transfer of a banking business

1. This Notice is supplementary to the notice given in this publication on 20th August 2002 stating that First Bank of Nigeria plc, London Branch (“FBN pIc”) has applied to the High Court on 7th August 2002 for an order sanctioning a banking business transfer scheme in respect of the proposed transfer of all the assets, rights and obligations constituting the business of FBN plc in the United Kingdom, to FBN (UK) Limited. Such an order will be conditional on the approval of an application made by FBN (UK) Limited to the Financial Services Authority for authorisation to carry on certain regulated activities.
2. Notice is hereby given of certain changes to the timetable for the transfer.
3. The proposed effective date of the scheme will now be close of business on 31 October 2002.
4. The hearing at the Companies Court of the High Court of Justice, the Strand, London has now been set for half a day, between the dates of 29-31 October 2002. The precise date of the hearing will be published on the Calls List of the Court at 5pm on the day before the hearing takes place. Any person who claims to be adversely affected by the carrying out of the scheme may appear at that hearing in person or represented by Counsel.
5. A person who intends so to appear, and any person who dissents from the scheme, but does not intend so to appear, should give notice in writing of such intention or dissent and of the reasons therefore by 24 October 2002, to Peter Hinson, First Bank of Nigeria plc, 28 Finsbury Circus, London EC2M 7DT.
6. Copies of a statement setting out the terms of the scheme are available for inspection at and may be obtained free of charge:
* from the offices of FBN plc, 28 Finsbury Circus, London EC2M 7DT from 9am to 5pm from Mondays to Fridays (public holidays excepted) by attendance in person;
* by application in writing, attaching a self-addressed pre-paid A4 size envelope; or
* by telephoning 020 7920 4920.
