"That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily and that Gareth Harris (IP No. 14412) and Lee Van Lockwood (IP No. 13050) both of RSM UK Restructuring Advisory LLP, Central Square, 5th Floor, 29 Wellington Street, Leeds, LS1 4DL be appointed Joint Liquidators for the purposes of such winding up and that the Joint Liquidators are to act jointly and severally."
