NOTICE IS HEREBY GIVEN that on 7 October 2016 the following Written Resolutions were passed by the members of the Company:

1) That the Company be wound up voluntarily.

2) That Simon Ashley Rowe of Milsted Langdon LLP, 46-48 East Smithfield, London E1W 1AW, be appointed Liquidator of the Company for the purposes of the voluntary winding-up.

3) That the Liquidator's remuneration be fixed at £5,000 plus VAT and disbursements. Fees may be paid at the Liquidator's discretion, as and when funds are available.

4) The Liquidator's disbursements shall be payable on the basis of the firm's published tariff, disclosed to the members.

5) That the Liquidator be authorised to divide among the members of the Company in specie part or the whole of the assets of the Company and may for that purpose, value any assets and determine how the division between members should be carried out

6) That the shares held in Sovereign Place (Freehold) Limited be distributed in such a manner to John Dipre with a value of £30,000.

7) That the Liquidator's pre-appointment fee of £4,000 plus VAT and disbursements as agreed with the directors, be paid as an expense of the liquidation by the Liquidator if not discharged prior to his appointment.

8) That the Company's books and records be held by the Directors/Members to the order of the Liquidator and may not be destroyed without the express permission of the Liquidator, which will not be granted until at least 12 months after the dissolution of the Company.

9) That the Certificate of Appointment of the Liquidators be signed by John Dipre.

Resolutions (1) and (5) being Special resolutions and all other resolutions being Ordinary resolutions.
