STRAUDLEY INVESTMENTS (2004) LIMITED

Notice is given in accordance with the Companies Act 2006 Section 719 that a special resolution was passed as a written resolution on 13 May 2013:

1 approving a form of contract providing for the purchase by the Company of 1,025 of its ordinary shares of £1.00 each for the aggregate sum of £1,055,613; and

2 authorising the payment of £325,000 of that sum out of capital.

As required by the Companies Act 2006 Section 714, the prescribed statement of the directors of the Company and the auditors’ report supporting that statement are available for inspection at the registered office of the Company at 167 Turners Hill, Cheshunt, Hertfordshire EN8 9BH.

Any creditor of the Company may, at any time within the five weeks immediately following 13 May 2013, apply to the court under the Companies Act 2006 Section 721 for an order cancelling the resolution or for other relief.
