At a General Meeting of the above named Company convened and held at Twin Oaks hotel, Church Lane, Chesterfield, Derbyshire, S44 6UZ on 24 April 2013 at 1.30 pm the following special resolution numbered one and ordinary resolution numbered two were passed:

1. That the Company be wound up voluntarily.

2. That Imogen C M Davidson (IP No 10310) of Baines & Ernst Corporate Limited, Lloyds House, 18-22 Lloyd Street, Manchester M2 5BE be appointed as liquidator of the Company for the purposes of such winding up.
