At a General Meeting of the above-named Company, duly convened, and held at City Point, Temple Gate, Bristol, BS1 6PL on 23 August 2012 at 12.00 noon the following resolutions were duly passed as a Special Resolution and as Ordinary Resolutions respectively:

“That it has been proved to the satisfaction of this Meeting that the company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, that Alan Fallows and Andrew Rosler, both of Ideal Corporate Solutions Limited, Lakeside House, Waterside Business Park, Smiths Road, Bolton, BL3 2QJ, (IP Nos: 9567 and 9151) be and are hereby appointed Joint Liquidators for the purposes of such winding-up and that the Joint Liquidators be authorised to act jointly and severally in the Liquidation.”
