Notice is hereby given that an application was on 14 June 2012 presented to Her Majesty’s High Court of Justice by Skandia Life Assurance Company Limited (the “ Transferor ”) for an order under section 111 of the Financial Services and Markets Act 2000 (the “ Act ”) sanctioning a scheme (the “ Scheme ”) for the transfer to a company to be incorporated under the laws of Finland and authorised prior to the transfer, as an insurer to effect and carry out life and pensions business in Finland (the “ Transferee ”) of the Transferor’s Finnish branch life and pensions business, including related assets and liabilities.

Copies of the Scheme and of a report (the “ Report ”) prepared in accordance with section 109 of the Act on the terms of the Scheme by Mr Philip Simpson (an independent expert in respect of the Scheme whose appointment has been approved by the Financial Services Authority), and of a statement setting out the terms of the Scheme and containing a summary of the Report may be obtained by any person free of charge on application in writing to the Transferor (marked for the attention of Legal & Company Secretariat) at Skandia House, Portland Terrace, Southampton, SO14 7EJ or to the Transferor’s Finnish branch (marked for the attention of Customer Services) at P.O. Box 1129, 00101 Helsinki, Finland until the making of an order sanctioning the Scheme. Copies of the Scheme, the Report and the statement referred to above may be viewed on the Transferor’s websites at www.skandia.co.uk and www.skandia.fi (where further information relating to the Scheme is also available) until the making of such an order or may be obtained by calling Customer Services on 02380726825 between 9am and 6pm (UK local time) Monday to Friday (excluding public holidays). Any enquiries about the Scheme or its effect on policies (including administrative enquiries) should be addressed to the Transferor using these contact details.

The application is directed to be heard before a Judge of the Chancery Division Companies Court at the High Court of Justice, 7 Rolls Buildings, Fetter Lane, London EC4A 1NL on 28 August 2012. Any change to the date will be published on the Transferor’s websites referred to above. Any person (including any employee of the Transferor) who alleges that he would be adversely affected by the carrying out of the Scheme is entitled to:

1 appear at the hearing and make representations in person; or

2 instruct a barrister or solicitor advocate to appear at the hearing and make representations on his behalf; or

3 make representations in writing.

If you intend to appear at the hearing in person, or to instruct someone to appear on your behalf, you must give notice of your intention to do so.

You are requested to send your representations or your notice:

1 in writing;

2 setting out the reasons why you would be adversely affected;
