A meeting of creditors of the Company has been summoned by the Joint Liquidators under Legislation section: Section 168(2) Legislation: of the Insolvency Act 1986 for the purpose of considering the following resolutions: “That a liquidation committee be established.” Creditors may form a liquidation committee of between 3 and 5 creditors, if deemed appropriate, to assist the liquidator in carrying out his duties. It should be noted that in the administration, no creditors committee was formed. If you wish to vote “for” the establishment of a liquidation committee and wish to volunteer to act as a member or the committee, please complete and return the attached committee consent form. Please note that if there are fewer than 3 volunteers, a committee cannot be formed. If the creditors decide not to establish a committee in the liquidation, then the following resolution shall be considered: “That the Joint Liquidators be authorised to draw fees on account from the assets of the Company from time to time during the period of the liquidation based on time properly spent at KPMG LLP charge out rates that reflect the complexity of the assignment. Also, that the Liquidators be authorised to draw disbursements from time to time to include category two disbursements.” The basis of remuneration of the the Joint Liquidators is to be fixed by the creditors (or the liquidation committee should one be duly established). The meeting will be held at KPMG LLP, 8 Salisbury Square, London EC4Y 8BB, on 31 July 2012, at 10.30 am . A proxy form must be lodged with me not later than 12.00 noon on 30 July 2012 to entitle you to vote by proxy at the meeting.
