At a General Meeting of the above named Company, duly convened, and held at 10 Furnival Street, London, EC4A 1YH on 22 June 2012 at 12.00 noon the following resolutions were duly passed as a Special Resolution and as Ordinary Resolutions:-

“That the Company be wound up voluntarily and that Darren Wilson and Nigel John Hamilton-Smith, both of FRP Advisory LLP, Jupiter House, Warley Hill Business Park, The Drive, Brentwood, Essex, CM13 3BE, (IP Nos. 9518 and 002093) be and are hereby appointed Joint Liquidators for the purposes of such winding up and that anything required or authorised to be done by the Joint Liquidators be done by both or either of them.”
