At a General Meeting of the above-named Company, duly convened, and held at RSM Tenon Recovery, 5 Ridge House, Ridge House Drive, Festival Park, Stoke on Trent, ST1 5SJ on 30 September 2011 the following resolutions were duly passed as a Special Resolution and as an Ordinary Resolution respectively:

“That it has been proved to the satisfaction of this Meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that John-Paul O’Hara, of RSM Tenon Recovery, 5 Ridge House, Ridge House Drive, Festival Park, Stoke on Trent, ST1 5SJ and Paul Finnity, of RSM Tenon Recovery, 1 New Park Place, Pride Park, Derby, DE24 8DZ, (IP Nos: 9621 and 8768) be and are hereby appointed Joint Liquidators for the purposes of such winding up and are to act jointly and severally.” Date of Appointment: 30 September 2011.
