At a General Meeting of the above-named Company, duly convened and held at Langley House, Park Road, East Finchley, London N2 8EY, on 23 December 2009 at 2.00 pm the following Resolutions were duly passed as a Special Resolution and as an Ordinary Resolution respectively:

“That the Company be wound up voluntarily, and that Philip Simons, of Accura Partners LLP, Langley House, Park Road, London N2 8EY, be and he is hereby appointed Liquidator of the Company for the purposes of such winding-up.”
