At a General Meeting of the members of the above named company, duly convened and held at Unit 2 Nixs Hill, Nixs Hill Industrial Estate, Alfreton, Derbyshire, DE55 7GN, on 18 December 2009, the following resolutions were duly passed:

“That on the recommendation of the Directors the company be wound up voluntarily and that Edward T Kerr and Brian J Hamblin, both of PKF (UK) LLP, Pannell House, 159 Charles Street, Leicester LE1 1LD, be and are hereby appointed joint liquidators of the company for the purpose of the voluntary winding up and that they be empowered to act jointly and severally.”
