At an extraordinary general meeting of the above named company convened and held at Jury’s Inn Hotel, Charlotte Place, Southampton SO14 0TB on 23 December 2009 at 11.00 am the following special resolution numbered one and ordinary resolution numbered two were passed:

1. “That it has been resolved by special resolution that the company be wound up voluntarily”.

2. “That Stephen Powell and Gordon Johnston of hjs recovery, Insolvency Practitioners of 12-14 Carlton Place, Southampton, Hampshire SO15 2EA be appointed joint liquidators of the company for the purpose of the voluntary winding-up”.
