1. SPECIAL RESOLUTION

“That the company be wound up voluntarily, and that W. A. Batty of Antony Batty & Company LLP, 3 Field Court, Gray’s Inn, London WC1R 5EF be and hereby appointed Liquidator for the purposes of such winding up”.
