At a General Meeting of the above-named Company, duly convened, and held at The Borough Arms Hotel, King Street, Newcastle-Under-Lyme, Staffordshire, ST5 1HX on 22 December 2009 the following Resolutions were duly passed, as a Special Resolution and as an Ordinary Resolution:-

“That it has been proved to the satisfaction of this meeting that the Company cannot, by reason of its liabilities, continue its business, and that it is advisable to wind up the same, and accordingly that the Company be wound up voluntarily, and that John-Paul O'Hara, of Tenon Recovery, Brampton House, 10 Queen Street, Newcastle under Lyme, Staffordshire, ST5 1ED and Paul Finnity, of Tenon Recovery, 1 New Park Place, Pride Park, Derby, DE24 8DZ, respectively be and are hereby appointed Joint Liquidators for the purposes of such winding up and are to act jointly and severally.”
